Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SOC Review's platform, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

Account Registration and Use

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Providing accurate and current information

One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent pricing or usage limits is prohibited and may result in account termination.

Service Description and Limitations

What We Provide

SOC Review provides automated analysis and extraction of SOC 1 Type II reports using AI technology. Our Service includes:

• Document upload and processing
• Automated control objective extraction
• Test procedure identification
• Exception flagging and analysis
• Data export capabilities
• Customer support

Service Limitations

You acknowledge that:

• The Service is an analytical tool, not a substitute for professional judgment
• AI-generated analysis should be reviewed and verified by qualified professionals
• We do not guarantee 100% accuracy in document extraction
• Service availability may be subject to maintenance and updates
• Features and pricing are subject to change with notice

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated systems to scrape or data mine the Service
• Resell or redistribute the Service without authorization
• Upload content that contains personally identifiable information (PII) of individuals without proper authorization
• Use the Service for any unlawful or fraudulent purpose
• Interfere with or disrupt the Service or servers

Payment Terms

Pricing and Credits

Pricing is available on our Pricing page. By purchasing credits:

• You agree to pay all fees associated with your purchases
• Credits are non-refundable except as required by law
• Credits do not expire
• Pricing is subject to change with 30 days' notice

Billing and Refunds

All payments are processed securely through Stripe. We offer a 7-day refund policy:

• Request refunds within 7 days of purchase if you're not satisfied with the Service
• Refunds are issued to the original payment method
• Credits used during the refund period will be deducted from the refund
• Refund eligibility may be limited for abuse or fraudulent activity

Intellectual Property Rights

Our Intellectual Property

The Service, including its design, features, code, and content, is owned by SOC Review and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Content

You retain ownership of documents and content you upload. By uploading content, you grant us a limited license to:

• Process and analyze your documents to provide the Service
• Store your content securely in our systems
• Display extracted data back to you in the platform

We do not use your uploaded documents to train AI models or share them with third parties except as necessary to provide the Service or as required by law.

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties that the Service will be uninterrupted or error-free
• Warranties that defects will be corrected

While we strive for accuracy, you are responsible for verifying all extracted data against source documents before relying on it for professional decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOC REVIEW SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages resulting from errors, omissions, or inaccuracies in extracted data

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SOC Review from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload to the Service

Termination

By You

You may terminate your account at any time through your account settings or by contacting support. Upon termination:

• Your access to the Service will cease
• Unused credits will be forfeited (no refunds)
• Your data will be deleted according to our data retention policy

By Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Cause harm to the Service or other users

Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement.

Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via:

• Email to your registered address
• Notification in the platform
• Posting the updated Terms with a new "Last Updated" date

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and SOC Review regarding the Service
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them with notice to you
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
